1. Introduction & Acceptance

These Terms of Service govern your use of the Startupify.tech website and any engagement with Codework Labs ("we", "us", "our"). By using our website or engaging our services, you agree to these terms.

2. Services Description

We provide software development services including MVP development, web app development, Android app development, cloud and infrastructure services, Shopify store development (Shopstart) and website/form development (Webstry). The exact scope of each engagement is defined in a separate proposal or statement of work.

3. Engagement Models

Projects are delivered under one of the following models, as agreed in your proposal:

  • Fixed Price — for clearly scoped MVPs, Shopstart stores and Webstry websites
  • Dedicated Team — for ongoing product development at a monthly rate
  • Time & Material — for evolving requirements and feature additions

4. Fees & Payment

Fees, payment schedules and milestones are agreed in writing before work begins. Invoices are due per the terms stated in your proposal. Late payment may result in a pause of ongoing work until the account is settled.

5. Intellectual Property

Upon full payment for a project, ownership of the final source code and deliverables created specifically for you transfers to you. We may retain the right to reuse general-purpose tools, libraries and know-how developed independently of your project.

6. Confidentiality

We treat details of your idea, product and business as confidential and are happy to sign a mutual Non-Disclosure Agreement (NDA) before discussing project specifics.

7. Revisions & Change Requests

Fixed Price projects include an agreed scope; changes outside that scope are handled as a change request with its own timeline and cost impact, agreed before work begins.

8. Limitation of Liability

To the extent permitted by law, our liability for any claim arising from our services is limited to the fees paid for the specific engagement giving rise to the claim. We are not liable for indirect or consequential losses.

9. Termination

Either party may terminate an engagement per the notice period stated in the relevant proposal. Fees for work completed up to the termination date remain payable.

10. Governing Law
